Photovoltaic Green-Ecosystem Organization, abbreviated as “PGO”, is a social organization voluntarily composed of photovoltaic enterprises across China, and it is under the leadership and management of China Inspection and Testing Society (CITS). In 2013, PGO was initiated by China Electronics Technology Group Corporation and jointly established by China Guodian Corporation, China Merchants Group, China Poly Group Corporation and the other state-owned enterprises. Following the principle of cooperative construction and benefit sharing, PGO members join forces to conduct development, construction, sales, operation and maintenance of photovoltaic power plant projects by strategic cooperation so as to promote the healthy and sustainable development of photovoltaic industrial ecology.


With many years of unremitting operation and development, to date, PGO’s membership has expanded across state-owned enterprises, listed companies, foreign joint ventures and large-sized private enterprises, covering the full spectrum of photovoltaic industry with PV manufacturing, PV power plant investment, design, construction, operation & maintenance, certification, financial leasing, etc., which stand for the backbones of China photovoltaic industrial community.


The “Panda Solar Station” Project cooperated with United Nations Development Program (UNDP) is the highlight of PGO’s latest work, and it has been listed on China "the Belt and Road" National Project. The first Panda Solar Station (Capacity: 50MW) has been built in Datong, China, with its second phase of another 50MW capacity project being under construction; the next construction of 60MW capacity has completed in Guangxi; the third 20MW project was built in Tibet. The future projects are planned to locate in the Philippines, Canada, and the Middle East.


In response to the global initiative “Paris Climate Agreement” for coping with climate change, PGO joined hands with the United Nations to construct the “Panda Solar Station” and “UN Teenagers Summer Camp Base” to motivate global teenagers’ interest and engagement in sustainable development as they will become the great power to combat global climate change in the future. To this end, PGO will join forces to promote new energy economy and make contributions to tackle global climate issues.

————————— ARTICLES  OF ASSOCIATION —————————

( Revised Edition of PGO [2019] )


Chapter I: General Rules

Article 1    Our organization has English name of Photovoltaic Green-Ecosystem Organization, which is abbreviated as “PGO”. PGO obeys the leadership and management of China Society of Inspection and Testing (CSIT). PGO is also known as China Photovoltaic Green-Ecosystem Professional Technical Committee of China Society of Inspection and Testing and referred to as “CSIT Photovoltaic Technology Committee(CSITPTC)” for short.

Article 2    PGO is an industrial organization voluntarily composed of upstream and downstream enterprises in photovoltaic industry chain, which features alliance, professionalism and occupation.

Article 3    PGO shall follow the principle of promoting mutual benefit and win-win situation of members, comply with the Chinese constitution, laws and regulations, echo with national calls, advance the upgrade of the photovoltaic industry, and make united effort to propel sound and sustainable development of the photovoltaic power generation industry.

Article 4    All members shall jointly carry out the development, construction, sales, operation and maintenance of photovoltaic projects through pragmatic cooperation, and achieve resource integration, mutual trust, win-win fruit and innovative development among enterprises. The purpose of PGO is described as follows:

 (1) Resource Sharing: PGO shall expand the scope of resource sharing, integrate upstream and downstream resources of the industrial chain, jointly create a favorable ecological environment for the photovoltaic industry, strive to develop PGO into a leader in the integrated construction mode of photovoltaic power plants, and boost sustainable and sound development of the photovoltaic power generation undertaking;

 (2) Comprehensive Cooperation: PGO shall strengthen the awareness of all-round cooperation, enhance internal cooperation among PGO members, carry out coordinated development, continuously explore and innovate deep-level cooperation modes, and spare no effort to create a new mode for all-round, all-inclusive and open-type cooperation among PGO members;

 (3) Complementary Advantage: PGO shall integrate upstream and downstream resources of the industrial chain, give full play to the superiorities of members, jointly improve the overall level of production technology, engineering construction, operation and maintenance management of the whole industry, maintain the development order of the photovoltaic industry, promote the advancement and application of solar power technology, and give impetus to the development of the global solar power industry;

 (4) Mutual Benefit and Win-Win Fruit: PGO shall make more efforts for investment and resource integration, take into account long-term all-round cooperation, and jointly open up a new dimension for development and win-win situation.


Chapter II: Organizational Framework

Article 5    General Assembly is the highest authority of PGO. General Assembly consists of all members, and every member shall have the right to vote.

Article 6    PGO adopts Secretary-General Responsibility System. Secretariat and Rotating President Organization are the executive bodies of General Assembly, which shall be responsible for routine work of PGO during the closing of General Assembly.

Article 7    Secretariat shall be elected by General Assembly, which shall be responsible to General Assembly. Secretariat is the permanent organization of PGO, which shall be responsible for the internal and external communication and liaison and undertake the promotion, publicity, cooperation and negotiation of PGO in the industry.

Article 8    Rotating President Organization shall serve for a term of three years and may be re-elected for at most three consecutive terms.

Article 9    General Assembly shall exercise the following duties:

 (1) Preparation and revision of the Articles of Association of PGO;

 (2) Review and approval of the work reports of Secretariat and Rotating President Organization;

 (3) Review and approval of the work plans of PGO;

 (4) Election and dismissal of Secretariat and Rotating President Organization;

 (5) Review of decisions on addition and cancellation of membership;

 (6) Review and approval of other matters subjected to the decisions of General Assembly.


Chapter III: Organizational Responsibilities

Article 10    Building a cooperation platform: PGO shall leverage the advantages of all members in their own business scopes, integrate resources, render all-round services for members, carry out project exchange activities among members, assist members to solve problems in the development process, make reasonable specialization, and grow into a comprehensive service platform integrating project development, construction, investment, operation, transaction, finance and insurance for photovoltaic power plants.

Article 11    Steering China’s photovoltaic industry ecosystem: PGO shall provide trainings on policies, regulations, new products and new technologies, organize industry information exchanges and technical seminars within PGO from time to time, put forward the opinions and suggestions to the governments and industry authorities, jointly expand, improve and refine the relevant technologies and standards required for the industry development, and constantly set the pace for sound and rapid development of the photovoltaic industry.

Article 12    Promoting industrial cooperation and international cooperation: PGO shall facilitate the in-depth cooperation among members in project resources, product technologies, solutions, business models, etc. in various forms, promote standardization of photovoltaic power plant construction, and push forward sustainable development of photovoltaic power plants.

Article 13    Advancing project coordination: PGO shall actively coordinate related matters in project cooperation of members, establish a sharing mechanism, promote the promotion of new technologies, new products and innovative business models, safeguard the interests of members, and have the right to punish those members which act against the purpose of PGO and infringe on the interests of other members.


Chapter IV: Rights and Obligations of PGO Members

Article 14    Observers and individual members shall be deemed with membership.

Article 15    An enterprise or public institution with independent legal person status, which recognizes these Articles of Association, may apply to be observer of PGO. Observer, which applies to join PGO, must meet the following requirements:

 (1) Advocating Articles of Association of PGO;

 (2) Expressing the willingness to join PGO;

 (3)Having influence in the photovoltaic industry;

 (4) Establishing and maintaining good business relationship with PGO member(s).

Article 16    Observer may apply to become PGO member. The application process is described as follows:

 (1) Observer submits an application form to Secretariat;

 (2) After the application form is initially reviewed by Secretariat, it shall be submitted to General Assembly with the consent of Rotating President Organization;

 (3) After General Assembly reviews and approves, Observer shall formally obtain membership.

Article 17     Rights and Obligations of President Organization and Secretariat

 (1) President Organization and Secretariat shall hold meetings from time to time. Members, designated by President Organization, shall take turns to be the organizers of the meetings.

 (2) President Organization and Secretariat shall regularly report on the work to CSIQ.

 (3) In the name of PGO, President Organization and Secretariat shall regularly submit work proposals and report on current-year activities to national authorities, and help members feed back the needs of enterprises to competent authorities.

 (4) President Organization and Secretariat shall be responsible for soliciting financial institution members and providing financing channels and financial supports for other members.

 (5) Secretariat shall be responsible for regularly publishing reports on alliance enterprises, Chinese photovoltaic industry and photovoltaic power plants.

Article 18    Members shall be entitled to the following rights:

 (1) Attending General Assembly and exercising the powers of review, voting, election and being voted;

 (2) Requesting PGO to safeguard its legitimate rights and interests;

 (3) Participating in various activities organized by PGO, and enjoying services provided by PGO;

 (4) Members with resources may preferentially enjoy the bidding rights of internal projects;

 (5) Putting forward opinions and suggestions to competent authorities through PGO;

 (6) Supervising PGO work, and having the right to put forward opinions and suggestions;

 (7) Requesting PGO to keep its trade secrets.

Article 19    Members shall assume the following obligations:

 (1) Complying with these Articles of Association and various rules and regulations, and executing the resolutions of PGO;

 (2) Paying attention to and supporting PGO work, participating in various activities organized by PGO, and safeguarding the legitimate rights and reputation of PGO (when a member conducts business in the name of PGO, it must inform Secretariat in writing and obtain the written consent of Secretariat);

 (3) Fulfilling the tasks assigned by PGO, accepting relevant inquiries and investigations from PGO, and presenting relevant materials required for PGO to perform its duties;

 (4) Paying membership fee;

 (5) Other obligations as stipulated in the resolutions of General Assembly.

Article 20    Under one of the following circumstances, membership shall be terminated:

 (1) Member conducts voluntary withdrawal from PGO;

 (2) In case of violation of the provisions of these Articles of Association, upon review and approval of General Assembly, the membership shall be cancelled.


Chapter V: Principles of Fund Management and Usage

Article 21    PGO fund has the following sources, i.e., membership fee, donations and other lawful incomes. Usage of PGO fund shall be supervised by the members at all aspects.

Article 22    Membership fees shall be managed by Secretariat in accordance with the requirements of CSIQ. At the annual general assembly, Secretariat shall submit report on the usage of current-year membership fee and budget report on the usage of next-year membership fee, which shall be reviewed by General Assembly.

Article 23    Budgetary expenditure, reviewed and approved by General Assembly, shall be reported by Secretariat and approved for use by Rotating President Organization.

Article 24    PGO fund must be earmarked for business scope and industry development as stipulated in these Articles of Association. No organization or individual is allowed to misappropriate, secretly share or embezzle such fund.

Article 25    Where the source of assets is government grant or social donation or subsidy, it must be subjected to the supervision of the auditing agency, and the relevant information thereof shall be disclosed to the public in an appropriate manner.


Chapter VI: Procedures for Revision of These Articles of Association

Article 26    Revision of these Articles of Association shall be submitted by Secretariat for review and approval by General Assembly.


Chapter VII: Procedures for Termination of PGO and Property Treatment after Termination

Article 27    When PGO has to dissolve for such reasons as purpose fulfillment and voluntary cancellation, Secretariat shall propose a termination motion.

Article 28    Termination motion of PGO shall be voted and approved by General Assembly.

Article 29    Prior to the termination of PGO, under the guidance of competent authorities, liquidation agency shall be established to settle creditor’s claims and debts, and deal with the matters arising therefrom. During the liquidation period, no activities other than liquidation shall be carried out.

Article 30    After the termination of PGO, in accordance with the relevant provisions of the State, the remaining property shall be used for the development of undertakings associated with the purpose of PGO under the supervision of national authorities.


Chapter VIII: Supplementary Provisions

Article 31    These Articles of Association was voted and approved by General Assembly on March 19, 2019.

Article 32    These Articles of Association shall take into effect since March 20, 2019.

Article 33    These Articles of Association shall be interpreted by Secretariat.
